These terms and conditions and the Privacy Policy found here (together the "Terms of Use") govern your access to and use of The International CCS Knowledge Centre's website (the "Website"). This Website is provided on the basis that users agree to the Terms of Use. BY ACCESSING THIS WEBSITE, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS OF USE.

1. What is the Knowledge Centre?

BHP SaskPower Carbon Capture and Storage (CCS) Knowledge Centre Inc., operating as The International CCS Knowledge Centre (the "Knowledge Centre"), is a knowledge and research centre incorporated for the purpose of advancing the understanding and use of carbon capture and storage ("CCS") as a means of managing greenhouse gas emissions.

2. Proprietary Rights

For the purposes of these Terms of Use, "content" is defined as any information, data, communications, software, photos, video, graphics, music, sounds, and other material and services that can be viewed by users on the Website. This includes message boards, chat, and other original content.

By agreeing to be bound by these Terms of Use, you acknowledge and agree that all content presented to you on the Website is protected by copyrights, trademarks, service marks, patents or other proprietary or intellectual property rights and laws, and is the sole property of the Knowledge Centre. Except for a single copy made for personal, non-commercial use only, you may not copy, reproduce, modify, republish, upload, post, transmit, sell, license, distribute or otherwise exploit any documents or information from the Website in any form or by any means without prior written permission from the Knowledge Centre or the specific content provider, and you are solely responsible for obtaining permission before reusing any copyrighted material that is available on the Website. Any unauthorized use of the materials appearing on the Website may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.

Certain materials or information available to you through the Website or through links to third party websites may be subject to third party intellectual property rights. All such intellectual property rights are and shall remain the property of their respective owners or creators (as the case may be). The Knowledge Centre does not warrant or represent that your use of materials displayed on, or obtained through, the Website will not infringe the rights, including the intellectual property rights, of third parties.

3. Acceptable and Prohibited Uses

You are solely responsible for your use of the Website. You agree that you shall use the Website respectfully and in accordance with all applicable laws and regulations. You further agree that that you shall not:

  1. Modify or alter any of the contents of the Website;

Upload, post or otherwise transmit through or to the Website any content that: (i) is false, unlawful, abusive, victimizing, threatening, harmful, obscene, offensive, or defamatory; (ii) might infringe the intellectual property rights or other proprietary rights of others; (iii) constitutes unauthorized or unsolicited advertising, junk or bulk/spam or any other form of unauthorized solicitation; or (iv) contains any viruses or any other harmful programs or elements;

  3. Disrupt or attempt to gain unauthorized access to any portion of the Website, its computer systems, server or networks; or

  4. Use the Website for any commercial purpose not intended to be allowed by the Website without the Knowledge Centre's permission.

4. Accuracy of Information

The Knowledge Centre endeavors to provide accurate information, descriptions and content on the Website but provides no warranty of the same.

5. Links to Other Sites

Links from or to internet sites outside the Website are meant for convenience only and your access to them is at your own risk. The publishers of the outside sites manage their content, which is not reviewed or approved by the Knowledge Centre. These links are not endorsements, guarantees or recommendations by the Knowledge Centre of the products or services offered on those sites. The Knowledge Centre does not guarantee that these links are functional or secure and cannot be held responsible for any loss resulting from the use or the content of the other sites connected to the Website through links.

6. Representations and Warranties

THE WEBSITE AND ALL CONTENT IS PROVIDED ON AN 'AS IS' BASIS WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND. YOU AGREE THAT THE KNOWLEDGE CENTRE IS NOT LIABLE IN ANY WAY FOR THE RELIABILITY, VALIDITY, ACCURACY, COMPLETENESS, INTEGRITY, QUALITY or TIMELINESS OF ANY INFORMATION OR OTHER CONTENT AVAILABLE THROUGH THE WEBSITE OR ANY THIRD PARTY PLATFORM, AND THAT YOUR USE OF, AND YOUR RELIANCE ON, ANY SUCH INFORMATION IS AT YOUR OWN RISK. 

THE WebSITE COULD INCLUDE BUGS, VIRUSES, TROJAN HORSES, OR OTHER DAMAGING OR MALICIOUS COMPUTER PROGRAMS OR SOFTWARE, AND THE website COULD BE INTERRUPTED OR CEASED FROM TIME TO TIME. THE USE OF THE webSITE IS AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH use.

The Website content may become out of date; however, the Knowledge Centre disclaims any duty to or liability for failure to update such content. Further, the Website content is subject to change without notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE KNOWLEDGE CENTRE SHALL NOT BE LIABLE TO YOU FOR ANY LOSS WHATSOEVER INCURRED THROUGH THE USE OF THE WEBSITE OR THE CONTENT. IN NO EVENT SHALL THE KNOWLEDGE CENTRE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES OR LOSSES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE WEBSITE OR OF ANY WEBSITES REFERENCED OR LINKED TO FROM THE WEBSITE.

THE KNOWLEDGE CENTRE IS NOT RESPONSIBLE FOR ANY INFORMATION, CONTENT OR MATERIALS MADE AVAILABLE ON THE WEBSITE OR BY THIRD PARTIES WHETHER REFERENCED ON THE WEBSITE OR OTHERWISE ACCESSIBLE OVER THE INTERNET.

THE AGGREGATE LIABILITY OF THE KNOWLEDGE CENTRE IN CONNECTION WITH THESE TERMS OF USE, YOUR USE OF THE WEBSITE OR ANY OTHER CIRCUMSTANCE GIVING RISE TO LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES ONLY AND SUCH DIRECT DAMAGES SHALL NOT EXCEED $50.00 CAD.

8. Indemnity

You agree to indemnify and hold harmless the Knowledge Centre and its members, agents, employees and successors from and against all claims arising out of or relating to your use or misuse of the Website.

9. Amendment and Severability

The Knowledge Centre reserves the right to alter these Terms of Use and the Website at any time in its sole discretion. Your continued use of the Website shall be construed as acceptance of the Terms of Use and any amendments thereto.

Each provision of these Terms of Use is intended to be severable.  If any provision is determined by a court of competent jurisdiction to be unenforceable for any reason, such provision shall be severed from these Terms of Use and will not affect the enforceability of the remainder of these Terms of Use.

10. Governing Law and Jurisdiction

These Terms of Use shall in all respects be governed exclusively by the laws of the Province of Saskatchewan without reference to the rules of conflicts of law.

11. International Use

Although the Website may be accessible worldwide, we make no representation that materials on the Website are appropriate or available for use in locations outside Saskatchewan, Canada, and accessing them from territories or jurisdictions where their contents are illegal is prohibited. Those who choose to access the Website from other locations do so on their own initiative and are responsible for compliance with local laws. Any offer made in connection with the Website is void where prohibited.
