International CCS Knowledge Centre Open License
This license is issued on behalf of BHP SaskPower Carbon Capture and Storage (CCS) Knowledge Centre Inc., operating as The International CCS Knowledge Centre (the "Knowledge Centre"), to you (an individual or a legal entity that you are authorized to represent).
Your use of any Licensed Materials indicates your understanding and acceptance of the terms below. If you do not agree to these terms, you may not use the Licensed Materials.
The Knowledge Centre may modify this license at any time.
Definitions
"Derivative Materials" means any materials you have produced by adapting or incorporating the Licensed Materials, in whole or in part, in accordance with this license.
"Intellectual Property" means any and all rights existing from time to time under patent law, copyright law, trademark law, or trade secret law and all rights in patents, designs, copyrights, copyrightable works and works of authorship, moral rights, trademarks, trade names, service marks and other proprietary trade designations, trade secrets, know-how, specifications and any other intellectual rights of any nature whatsoever throughout the world, registered or unregistered, and compilations of any of the foregoing.
"Licensed Materials" means the materials, information, reports, documents and/or any other Intellectual Property made available to you by the Knowledge Centre from time to time in accordance with this license.
License Grant
Subject to these terms, the Knowledge Centre grants you a worldwide, royalty-free, non-exclusive, sub-licensable license to use, reproduce, publish, or freely distribute the Licensed Materials and any Derivative Materials. For greater certainty, you may not use the Licensed Materials for any commercial purposes.
In doing any of the above, you shall:
- reproduce the Licensed Materials accurately;
- not use the Licensed Materials in a way that suggests that the Knowledge Centre endorses you or your use of the Licensed Materials;
- not misrepresent the Licensed Materials or its source; and
- use the Licensed Materials in a manner that does not breach or infringe any applicable laws.
Acknowledgment of Source
You shall include and maintain the following notice on all licensed rights of the Licensed Materials:
"Source: The International CCS Knowledge Centre. Reproduced and distributed on an 'as is' basis with the permission of the Knowledge Centre."
Where any Licensed Materials are contained within Derivative Materials, you shall include on such Derivative Materials the following notice:
"Adapted from The International CCS Knowledge Centre. This does not constitute an endorsement by the Knowledge Centre of this application of its Licensed Materials."
Intellectual Property Rights
Intellectual property rights, being any and all intellectual property rights recognized by the law, that the Knowledge Centre may have in the Licensed Materials shall remain the property of the Knowledge Centre. Intellectual property rights that third parties may have in the Licensed Materials shall remain their property.
Intellectual property rights in Derivative Materials, shall vest in you, in such person as you shall decide or as determined by law.
No Warranty and No Liability
The Licensed Materials are licensed 'as is', and the Knowledge Centre makes no representations or warranties whatsoever with respect to the Licensed Materials, whether express or implied, in relation to the Licensed Materials and expressly disclaims any implied warranty of merchantability or fitness for a particular purpose of the Licensed Materials.
The Knowledge Centre or any of its employees, agents, successors and assigns shall not be liable for any errors or omissions in the Licensed Materials and shall not, under any circumstances, be liable for any direct, indirect, special, incidental, consequential, or other loss, injury or damage, however caused, that you may suffer at any time by reason of your possession, access to or use of the Licensed Materials or arising out of the exercise of your rights or the fulfilment of your obligations under this license.
Term
This license is effective as of the date and time you access the Licensed Materials and shall terminate automatically if you breach any of the terms of this license.
Applicable Law
This license is governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. Legal proceedings related to this license may only be brought in the courts of Saskatchewan or the Federal Court of Canada..
